1. Acceptance of Terms

By accessing or using the services provided by Yaxi Digital Software Limited Company ("Company", "we", "our", or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services

We provide software development, server infrastructure, proxy consulting, integration services, and related technical services. The specific scope, deliverables, and terms of any project will be outlined in a separate agreement or statement of work.

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information necessary for us to perform our services
• Respond to our communications in a timely manner
• Ensure you have the necessary rights to any materials you provide to us
• Pay all fees as agreed in your project agreement
• Not use our services for any unlawful purpose

4. Intellectual Property

Unless otherwise specified in a separate agreement:

• You retain ownership of any pre-existing intellectual property you provide to us
• Upon full payment, you will own the custom work product created specifically for your project
• We retain ownership of our pre-existing tools, frameworks, and methodologies
• We may use generalized knowledge and experience gained from projects for other clients

5. Payment Terms

Payment terms will be specified in your project agreement or invoice. Unless otherwise stated, invoices are due within 14 days of receipt. Late payments may incur additional charges as specified in your agreement.

6. Confidentiality

We will treat all confidential information you provide as confidential and will not disclose it to third parties without your consent, except as required by law or as necessary to perform our services using trusted service providers.

7. Warranties and Disclaimers

We will perform our services with reasonable skill and care. However:

• We do not guarantee that our services will meet all your requirements or be error-free
• Any estimates of timelines or costs are provided in good faith but are not guarantees
• Third-party services and products are provided "as is" without warranty from us

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED.

8. Limitation of Liability

To the maximum extent permitted by law, our total liability for any claims arising from our services shall not exceed the total amount paid by you for the specific services giving rise to the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

9. Termination

Either party may terminate a project agreement as specified in that agreement. Upon termination, you shall pay for all services rendered up to the date of termination. Provisions that by their nature should survive termination will remain in effect.

10. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of Türkiye. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts in İzmir, Türkiye.

11. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will provide notice of significant changes by posting the updated terms on our website. Your continued use of our services after such changes constitutes acceptance of the new terms.
